The Vine Voices Program (the "Program") offers select customers (known as "Vine Voices") access to select products at no cost to generate independent customer reviews on amazon.com.au and affiliated websites,to provide customer feedback to product suppliers, and to help generate product buzz online. Your participation in the Program is subject to the terms and conditions of this Agreement (the "Agreement"). BY REGISTERING TO PARTICIPATE IN THE PROGRAM, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS BELOW AS WELL AS THE VINE COMMUNITY GUIDELINES .
The Program is operated by Amazon Commercial Services Pty Ltd ("Amazon"). Employees of Amazon or its affiliates are not eligible to participate.
This Agreement incorporates the amazon.com.au Conditions of Use and may be updated from time to time — all conditions governing your use of the website (including the section entitled REVIEWS, COMMENTS, COMMUNICATIONS, AND OTHER CONTENT) also apply to all Program-related communications and to your participation in the Program unless otherwise stated. By using Amazon Community features (including customer reviews) you agree to Amazon's Community Guidelines.
Products enrolled in the Program ("Vine Products") may be provided by third-party suppliers and made available to you through the Program ("Third-Party Products") or manufactured specifically by or on behalf of Amazon or its affiliates ("Amazon Products").
You acknowledge and agree that all Vine Products are:
Nothing in this Agreement is intended to:
(i) exclude, restrict or modify any non-excludable right or remedy you have under law including the Australian Consumer Law; or
(ii) limit or exclude our liability to you for losses, to the extent such loss is caused by our gross negligence or criminal conduct.
You represent that you will be reviewing Vine Products:
Please inform us immediately if this is not correct as we may require you to complete a tax interview or provide us with further information before you can participate in the Program, as required in accordance with the 'Taxes' clause.
For these purposes, we note that 'enterprise' is broadly defined in section 9-20 of A New Tax System (Goods and Services Tax) Act 1999 (Cth) and includes (amongst others) an activity, or series of activities, done in the form of a business.
In consideration of the opportunity to participate in the Program, you agree that you will:
All right, title and interest in the Amazon Products will pass to you when the Amazon Product is delivered to the common carrier for delivery to you
Amazon reserves the right to refuse service, terminate accounts, terminate your rights to Vine in its sole discretion, including if we detect suspicious activity or abuse of our systems and/or policies
You may charge and Amazon will pay applicable national, state or local sales or use taxes or value added taxes that you are legally obligated to charge ("Taxes"), provided that such Taxes are stated on the original invoice that you provide to Amazon and your invoices state such Taxes separately and meet the appropriate tax requirements for a valid tax invoice. Amazon may provide you an exemption certificate or equivalent information acceptable to the relevant taxing authority, in which case, you will not charge or collect the Taxes covered by such certificate. You will be responsible for all other taxes or fees (including interest and penalties) arising from transactions and the documentation of transactions under this Agreement. Amazon may deduct or withhold any taxes that Amazon determines it is obligated to withhold from any amounts payable to you under this Agreement, and payment to you as reduced by such deductions or withholdings will constitute full payment and settlement to you of such amounts. Throughout the term of this Agreement, you will provide Amazon with any forms, documents, or certifications as may be required for Amazon to satisfy any information reporting or withholding tax obligations with respect to any payments under this Agreement.

Amazon reserves the right to change any of the terms and conditions contained in this Agreement at any time. Where we make a materially adverse change to the Program or this Agreement, as reasonably determined by us, we will provide advance notice to you. Any changes are effective upon posting a change notice or a new agreement on our website or in your account page. You are responsible for reviewing the new agreement and any applicable changes or notices. YOUR CONTINUED PARTICIPATION IN AMAZON VINE™ AFTER THE POSTING OF ANY CHANGES CONSTITUTES YOUR ACCEPTANCE OF SUCH CHANGES. IF YOU DO NOT AGREE TO ANY CHANGES TO THIS AGREEMENT, YOU MUST DISCONTINUE PARTICIPATING IN THE PROGRAM AND OPT OUT OF THE PROGRAM THROUGH THE LINK IN THE AMAZON VINE VOICE PORTAL (http://www.amazon.com.au/vine/account) OR BY CONTACTING AMAZON CUSTOMER SERVICE
